Josh Goldstein is a shareholder in the Corporate & Business practice group at Greenspoon Marder. Mr. Goldstein has an extensive transactional background, with experience in public and private debt and equity financing, M&A, divestitures, joint ventures and other strategic transactions. Mr. Goldstein regularly advises public and private companies across industries on securities law matters, corporate governance and complex commercial transactions and has led more than a dozen IPOs, public and private M&A transactions and the issuance of several billion dollars of debt and equity securities.
Prior to joining Greenspoon Marder, Mr. Goldstein served as EVP, General Counsel and Secretary of Intrawest, a NYSE-listed company with operations across the U.S. and Canada, where he led the company through an IPO and managed a multi-disciplinary legal team engaged in a diverse legal, risk management and compliance practice. Earlier in his career, as an attorney at Skadden, Arps, Slate, Meagher & Flom, LLP in New York, Mr. Goldstein executed a number of complex high-profile transactions, including the divestiture by Citigroup of its Primerica subsidiary through a private sale and subsequent IPO, cited by the Financial Times as involving the most innovative lawyering of any financial services transaction in 2010; the debt financings for XM Satellite Radio Holdings Inc.’s merger with Sirius Satellite Radio; the IPO of Och-Ziff Capital Management Group; the split-off of Lorillard from Loews; the spin-off and IPOs by Cendant of its Jackson Hewitt Tax Service and Wright Express subsidiaries; and the IPO and subsequent spinoff of Citigroup’s insurance subsidiary, Travelers Property Casualty.
