Miami – November 8, 2023 – Greenspoon Marder Real Estate partner Manny L. Crespo and associate Frank Whitaker counseled their client, a major Mexican construction and materials conglomerate, regarding the acquisition and financing of a commercial property in Central Florida being purchased by the client with the intention of expanding its capacity for construction material fabrication and order fulfillment. The real estate property consists of adjacent vacant land parcels, respectively zoned for light and heavy industrial use with one portion consisting of a rentable, multi-unit warehouse/office facility. The acquired property is adjacent to land previously purchased by the client, making this transaction a key expansion for the client to grow its manufacturing facilities and output.
The legal team, led by Mr. Crespo and Mr. Whitaker, marshaled the client through its due diligence process and guided it in the eleventh hour on a private financing component, as it became apparent institutional financing would not be finalized within an acceptable time frame due to a hard and immovable closing date. As the parent companies for both the buyer and lender are domiciled in Mexico, Mr. Crespo drew on his extensive experience dealing with Latin American companies in cross-border real estate transactional work and, together with Mr. Whitaker’s invaluable assistance in taking the lead on drafting all the required loan and corporate security documentation, closed the deal in a timely manner.
Mr. Crespo concentrates his practice on real estate and commercial transactions, including title insurance, condominium development, and the conversion from existing rental unit buildings to condominium ownership. He has litigated real property disputes, contract and title disputes, construction, landlord-tenant, foreclosures, and other real estate matters.
