Overview

Ellen Gilmore is a partner with Greenspoon Marder’s Corporate and Tax practice groups. She has more than 25 years of transactional experience representing individuals and entities concerning all aspects of their business needs, including, but not limited to advising clients with respect to the structuring of transactions from a business and tax perspective, business operations, investment and owner relationships, formation, expansion and operational matters, purchases, sales and divestitures, restructuring, private placements, securitizations and liquidations. Ms. Gilmore’s transactional practice includes drafting general and complex agreements for businesses, their owners, investors, employees and operations, as well as representation of both borrowers and creditors for asset-based lending transactions. Ms. Gilmore is also experienced in business tax planning and tax structuring. She has her Master of Laws in tax and previously clerked with the U.S. Tax Court. Ms. Gilmore’s practice includes assisting clients with trademark matters, including the filing of state and Federal trademark applications.

Prior to joining Greenspoon Marder in 2003, Ms. Gilmore worked in Atlanta, Georgia at national law firms in their Federal and International Tax Practice. She also clerked at the U.S. Tax Court for Judge Halpern, Judge Chabot and Judge Colvin.

Representative Experience

  • Assists purchasers and sellers of businesses, including negotiating and drafting related to mergers, reorganizations, acquisitions and divestitures
  • Counsels clients on all forms of entity formations, including corporations, professional associations, partnerships, limited partnerships, limited liability companies and their related governing documents
  • Represents lenders and borrowers in asset-based loan transactions and forbearance agreements
  • Represents franchisors and franchisees
  • Counsels clients regarding syndications and preparation of private offering circulars and related documents
  • Assists clients with preparing buy-sell agreements, including shareholders agreements, partnership agreements and operating agreements to plan for business successions, financial needs and disputes
  • Counsels clients with respect to all forms of investment documents
  • Assists clients with preparing executive compensation agreements
  • Assists clients with preparing equity compensation plans and award agreements related thereto
