Melissa Groisman

Melissa Groisman is a partner based in the Fort Lauderdale and Miami offices of Greenspoon Marder LLP, where she is a member of the Real Estate practice group. A fully bilingual attorney with more than 17 years of experience as a real estate attorney, Ms. Groisman has extensive experience representing foreign and domestic developers, investors, and lenders in the acquisition, development, financing, and disposition of multifamily, residential, industrial, office and retail properties. She also counsels both landlords and tenants in commercial leasing transactions. She immerses herself in the details of a deal, helping clients’ maximize their investments and advance their business objectives.
Ms. Groisman holds an AV Preeminent® Rating from Martindale-Hubbell, the highest peer rating based on legal ability and ethical standards. A native of Miami with Argentine roots, she received her law degree as a Dean’s Merit Scholar from the University of Miami School of Law and earned a B.A. from Duke University.
Experience
- Represented a multifamily developer in the $82 million simultaneous acquisition of three apartment communities located in Miami-Dade and Broward Counties. The transaction involved negotiating the assignment, assumption, merger, and spreader of existing loans to facilitate financing and required coordinated closings across all three properties.
- Served as local counsel to a New York-based private equity group in its $102 million acquisition of a 404-unit apartment complex located within a mixed-use development in Plantation, Florida. Representation included complex title, survey, and zoning review, and extensive negotiations with the master association regarding their recorded Declaration encumbering the property.
- Counsel to developer in the coordinated acquisition of three multifamily properties in Fort Lauderdale, each from a separate seller and closed simultaneously: a 33-unit workforce housing community ($6.9 million), a 34-unit rental apartment complex ($14.9 million), and a 24-unit affordable housing building ($4.1 million). Financing was structured through two assumed, modified, consolidated, and spread loans from an institutional lender.
- Counsel to a residential real estate investor in a dual transaction involving the simultaneous purchase and sale of condominium units between two parties. Representation included a $17.185 million acquisition of two neighboring units and a concurrent $12 million sale of a separate unit within the same building. The transaction required intricate coordination between two closing agents and careful structuring of interdependent closing statements to ensure both deals closed successfully on the same day.
- Counsel to borrower in connection with a $28.1 million refinance of two multifamily properties in Broward County through a Fannie Mae loan originated by an institutional lender. Also served as co-counsel to corporate counsel in structuring a preferred equity investment by a publicly traded REIT, negotiated concurrently with the refinance transaction.
- Represented developer in connection with the $12.5 million acquisition and loan for a 36-unit affordable housing townhome community in Lake Worth, Florida. Negotiated assumption of the seller’s existing loan and supported corporate counsel in structuring a private equity investment from a publicly traded REIT into the developer.
- Counsel to private lender in connection with a $20 million acquisition and construction loan to a spec home developer in Fort Lauderdale. Representation included structuring and negotiating loan documents for a combined financing package supporting both land acquisition and vertical development.
- Served as title counsel as part of the lender representation team in connection with a $66.8 million construction loan to a New Jersey developer. Representation included title and survey review, negotiation of the loan proforma, deletion of title exceptions, and selection of appropriate endorsements to support the lender’s coverage requirements.
- Counsel to private fund in the $11.2 million acquisition of all units within a medical office condominium in Broward County. Representation included negotiating the purchase contract and seller-financing terms, including partial release provisions to facilitate future sales of individual units, and preparing documentation to assume control of the condominium association.
- Counsel to Missouri-based developer in the $9.3 million sale of a vacant land parcel within its mixed-use project, designated for hotel development. Representation included negotiating and drafting amendments to the POA declaration—originally established by the client—to accommodate the buyer’s proposed use while preserving the integrity of the overall development.
- Served as title counsel as part of the lender representation team in connection with a $27.4 million construction loan for a development site in Georgia. Representation included title and survey review, negotiation of the loan proforma, deletion of title exceptions, and selection of appropriate endorsements to support the lender’s coverage requirements.
- Represented local multi-family developer in securing a construction access easement across public school property in Broward County. Representation included a six-month negotiation with the Broward County School Board, involving multiple levels of review, stakeholder meetings, and approvals. Drafted the final easement agreement following successful resolution of access issues.
- Counsel to investor in the acquisition and financing of a 27-unit townhome community in Coral Springs. The transaction was financed through a Freddie Mac loan originated by an institutional lender.
- Counsel to investor in the $8.6 million acquisition of 42 condominium units within an 84-unit Coral Springs condominium, with the strategic intent to obtain control and terminate the condominium regime. Representation included negotiating seller-financing terms and preparing documentation necessary to assume control of the condominium association.
