Greenspoon Marder Client Alert: Business Restructuring

March 24, 2020

Governments worldwide are currently implementing unprecedented restrictions on individuals, businesses and other entities in an effort to combat the COVID-19 pandemic, and are also planning a variety of fiscal and monetary stimulus measures in an effort to try to offset the economic damage likely to result from these health and safety motivated restrictions. However, given the extent of the currently implemented limitations and those restrictions which may yet be implemented, numerous commentators are anticipating significant economic disruption which may last long after the restrictions have been modified and ultimately lifted.  Accordingly, a significant number of companies, even comparably healthy companies, may have to consider taking steps to restructure their obligations, and many companies are already reaching out to counsel for advice on how to address the impact to their businesses of these restrictions.

Greenspoon Marder LLP’s corporate, restructuring, real estate and tax lawyers have significant experience advising U.S., Canadian and other international debtors, borrowers, guarantors, issuers, creditors, lienholders, management teams and other stakeholders in connection with short term liquiduty crisis management as well as liability restructuring matters, distressed transactions and other types of workouts.  We have the capacity to advise on a full range of bankruptcy and insolvency options, including Chapter 11 reorganizations, Subchapter 5 reorganizations, prepackaged and pre-negotiated bankruptcies, and 363 sales, as well as receiverships.  The breadth of our lawyers’ expertise allows us to devise highly creative solutions to even the most difficult situations.  Among other things, we have experience with the full spectrum of out-of-court transactions and settlements, including:

·     Asset sales and foreclosures, including pre-negotiated sales

·     Assignments for the benefit of creditors

·     Bridge loans and short term liquidity facilities

·     Consent solicitations under debt indentures

·     Debt conversions and exchanges

·     Debt purchases and loan-to-own transactions

·     Forbearance agreements and standstill agreements

·     Renegotiation of credit instruments and loan covenants

We have experience working with other professionals, including valuation experts and investment bankers, in implementing the most efficient solutions. Whether you are looking for strategy and insight to navigate the current choppy waters or aim to restructure your business as quickly as possible, we can help.
